As A Business Transactions Lawyer:
Michael represents businesses and individuals in a broad array of transactions including asset purchases, stock purchases, shareholder buy-outs, stock redemptions, mergers, real estate purchases and sales, and lending transactions. His experience spans across various industries including technology, hospitality, food service, manufacturing, professional practices, franchise businesses, real estate agencies, insurance agencies, automotive and real estate. Michael routinely represents small business owners and individuals in the purchase and sale of "life style" businesses, which he finds as challenging and interesting as the larger transactions he's handled.

As A Real Estate and Lending Lawyer:
Michael represents owners, purchasers, and developers of real estate in acquisitions, loan transactions, real estate leasing and other real estate transactions. Michael has recently worked on commercial lease transactions involving national and regional chains such as The Ninety Nine, Starbucks, Tractor Supply Company, Planet Fitness, as well as local businesses. Michael has also represented banking clients on multi-million dollar acquisition, development, and constructions loans. Michael's experience in corporate and private securities is a strong complement to his real estate and lending practice.

As A Corporate Lawyer:
Michael's practice includes:

  • Forming limited liability companies and corporations and assisting in the planning, structuring, and documentation relating to new businesses.
  • Assisting clients with securities compliance and structuring and documenting private placements of securities to accredited investors.
  • Representing companies in an ongoing manner with contracts, employment agreements, corporate compliance, intellectual property matters and licensing.

Prior Experience:

  • Chaired the Business Transactions Group at the law firm of Sheehan, Phinney, Bass & Green, P.A. in Manchester, New Hampshire (1994 - 2004).
  • Partner at Alfano, Baroff & Kasten in Bedford, New Hampshire (2004 - 2008).
  • Budget and policy analyst for the Office of Management and Budget (OMB) in Washington, D.C. (1987-1992). Responsible for budget and policy oversight of the U.S. international anti-narcotics programs and the Foreign Service Retirement and Disability System.
